1. Acceptance of Terms

Welcome to FinPal. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LakeSide Software Dev, Inc., a Delaware corporation ("FinPal," "we," "us," or "our"), governing your use of the FinPal financial planning application and website (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

2. Description of Service

FinPal is a financial planning application that provides:

• Personalized financial roadmaps and debt repayment strategies
• Optimized payment allocation and timing recommendations
• Dynamic plan updates that recalculate based on your changing financial situation
• Investment analysis and retirement planning tools
• Financial progress tracking and notifications
• Educational content and resources

3. Account Registration and Eligibility

3.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use of your account

3.2 Eligibility

You must be at least 18 years old to use FinPal. By using the Service, you represent and warrant that you meet this age requirement.

4. Service Plans and Payments

4.1 Free and Paid Plans

FinPal offers both free and paid subscription plans:

• Free Plan: Basic features and functionality are available at no cost
• Paid Plans: Premium features and enhanced functionality require a paid subscription

4.2 Subscription Terms

If you choose a paid plan:

• Subscriptions automatically renew unless you cancel before the renewal date
• We will charge your payment method on file at the beginning of each billing period
• Prices are subject to change with 30 days' notice
• You can cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial billing periods

5. User Responsibilities and Conduct

5.1 Accurate Information

You are responsible for providing accurate and complete financial information to FinPal. The quality of our recommendations depends on the accuracy of the information you provide. We are not responsible for incorrect recommendations resulting from inaccurate information.

5.2 Prohibited Uses

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of FinPal or others
• Attempt to gain unauthorized access to our systems or user accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Remove, obscure, or alter any legal notices displayed in the Service
• Use the Service to transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with others

5.3 Data Consent

By using FinPal, you agree to allow us to use your data in anonymized, aggregated form to create internal statistics (such as average debt amounts, average payoff times, etc.) and to improve our Service. This is detailed further in our Privacy Policy.

6. Intellectual Property

6.1 FinPal's Ownership

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, software, algorithms, and trademarks, are the exclusive property of FinPal and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

FinPal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include any right to:

• Resell or commercialize the Service
• Modify or create derivative works based on the Service
• Download or copy content except as specifically permitted
• Use any data mining, robots, or similar data gathering methods

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Results

FinPal does not guarantee any specific financial results or outcomes. The effectiveness of our recommendations depends on many factors, including the accuracy of information you provide, your adherence to the plan, market conditions, and unforeseen circumstances.

7.3 Not Professional Advice

FinPal is not a licensed financial advisor, accountant, or attorney. Our recommendations are informational and educational in nature. They should not be considered as professional financial, legal, or tax advice. You should consult with qualified professionals before making significant financial decisions.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any financial decisions made based on our recommendations
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code
• Any errors or omissions in content

IN NO EVENT SHALL FINPAL'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO FINPAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless FinPal, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any financial decisions you make based on FinPal's recommendations

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings
• Contacting us at legal@finpalapp.com

9.2 Termination by FinPal

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, FinPal, or third parties
• Violates applicable laws or regulations
• Is otherwise inappropriate or objectionable

9.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We will delete your personal data as described in our Privacy Policy
• You will not be entitled to any refunds for unused subscription time
• Provisions that by their nature should survive termination will continue to apply

10. Changes to the Service and Terms

10.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10.2 Terms Modifications

We may update these Terms from time to time. If we make material changes, we will notify you by:

• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of the Service after changes to these Terms constitutes your acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FinPal regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
